Terms of Service
These terms apply when you create an account, buy a plan or use SimplyUpsell.
Last updated: 5 November 2026
SimplyUpsell is operated by NAIT DIGI.TECH LTD, private limited company, company number 16550159. Registered office: 125 Vine Street, Manchester, England, M18 8SR. All rights reserved.
1. Who we are and these terms
SimplyUpsell is operated by NAIT DIGI.TECH LTD, a private limited company registered in England and Wales, company number 16550159, with its registered office at 125 Vine Street, Manchester, England, M18 8SR ("we", "us"). By creating an account or buying a plan you agree to these terms, our Privacy Policy, Refund Policy and Shipping and Delivery Policy. SimplyUpsell is business software and is sold to merchants and businesses for use with their online stores.
2. The service
SimplyUpsell lets you create stores and offers in Offer Studio, preview them, add a script to your store that shows the offers to your shoppers, test two headlines on supported plans, and read counts of how often each offer was shown and clicked. Native connectors for Shopify, WooCommerce, Magento and BigCommerce, revenue attribution and catalogue sync are not available yet and are not part of any plan.
3. Accounts
- You must be at least 18 years old and able to enter a contract. If you sign up for a company, you confirm you can bind it.
- Give accurate details and keep your password secret. You are responsible for activity under your account.
- Tell us promptly if you think your account was accessed without permission.
4. Plans, credits and one-time payment
Each plan (Solo, Starter, Growth, Scale, Agency and any custom plan) is a single one-time payment that gives lifetime access to SimplyUpsell. Nothing renews automatically and there is nothing to cancel. Prices are shown in US dollars and taxes may apply.
- Lifetime access means you can use the current version of SimplyUpsell, including updates we release, for as long as we offer the product. If we decide to stop offering it, we will email you at least 90 days before.
- Credits. 1 credit = 1 offer slot (an offer you have created in Offer Studio). Creating an offer uses one credit. Deleting an offer returns it. Credits do not expire.
- Stores. Starter includes 1 store, Growth up to 3 and Scale up to 10.
- Order volume. The orders-per-month sizes shown on the pricing page describe the store size a plan is meant for. They are guidance and are not enforced by the software.
- Buying more. You can buy more than one plan. Credits add up and the store limit follows your highest plan.
Payments are processed on a hosted payment page by Airwallex. We do not see or store your full card details.
5. Delivery and activation
SimplyUpsell is delivered digitally. Within 24 hours of payment, every day of the week including weekends and bank holidays, we activate your plan and email you to confirm and explain how to sign in. Create your account with the same email address you pay with so that we can match the payment. If you paid without an account, create one with that email or write to us and we apply the plan to it. See the Shipping and Delivery Policy.
6. Refunds
You can ask for a full refund within 14 days of purchase without giving a reason. The details are in the Refund Policy. Your statutory rights as a consumer are not affected.
7. Your content and licence
You keep all rights in the text, links, images and product information you enter ("your content"). You give us a limited licence to host and display it so that the service can show your offers on your stores and to you in Offer Studio. We do not use your content to train AI models. You confirm that you have the right to use your content and that it does not infringe anyone's rights.
8. Acceptable use
You must use SimplyUpsell lawfully and honestly. You must not:
- promote illegal goods or services, adult content, gambling, weapons, counterfeit goods or anything else that is unlawful in your market or on the platform you sell on;
- write offers that are false, misleading or that misstate a price, discount or product;
- impersonate another person or business, or commit or facilitate fraud;
- use the service to collect personal data from shoppers without telling them in your own privacy notice;
- attempt to break, overload or reverse engineer the service, or to inflate or falsify offer counts;
- resell access or share your login with people outside your business.
9. Store scripts and your shoppers
You decide where the script is installed. You are responsible for the content of your offers, for the prices and products they promote and for complying with consumer, advertising and platform rules in the places you sell. The script sets no cookies and sends only the offer, the headline variant, the event type and the day. If your store needs a cookie or privacy notice for other reasons, that remains your responsibility.
10. Third-party platforms
Shopify, WooCommerce, Magento and BigCommerce are trademarks of their holders. SimplyUpsell is independent and is not affiliated with, sponsored or endorsed by them. Their rules and technical limits can change and can affect where a script can be installed.
11. No promise of results
Upsells can raise or not raise order value depending on your products, prices, traffic and offers. We do not promise any increase in sales, revenue, order value or click rate.
12. Intellectual property
We and our licensors own SimplyUpsell, its software, design and brand. You receive a non-exclusive, non-transferable licence to use it for your own stores for as long as you have access. Nothing here transfers the software to you.
13. Suspension and termination
We may suspend or end your access if you seriously or repeatedly break these terms, if we must by law, or to protect the service or other people. Where reasonable we will warn you first. If we end your access without a breach by you, we will refund you in full if this happens within 14 days of purchase, and otherwise a fair pro-rata share of the price you paid, set by us acting reasonably. This never reduces your statutory rights. You can delete your account at any time in your account page. Deleting your account removes your stores, offers and counts.
14. Disclaimers
The service is provided as is and as available. We work to keep it running but cannot promise it will be uninterrupted or error free. Our script is designed to fail quietly, so a problem on our side should not stop your store from loading. Nothing in this section limits rights you have by law.
15. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be limited. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, and our total liability for any claim relating to the service is limited to the amount you paid for it.
16. Indemnity
You will cover reasonable losses we suffer because of a claim by a third party that arises from your content, your offers or your breach of these terms.
17. Governing law and courts
These terms and any dispute about them are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that if you are a consumer you may also bring a claim in the courts of the country where you live.
18. Changes to these terms
We may update these terms. If a change is material we will tell you by email or in the service before it applies. Changes do not affect plans you have already paid for in a way that makes them worse.
